Letter to ordinary shareholders (September 2003)

Dear Shareholder,

Please find enclosed a copy of our 2003 interim report.

I wanted to take this opportunity to write to let you know that, following a review of our share register, we are aware that we have a percentage of shareholders who appear on Gallaher’s share register more than once. If you are one of these shareholders and would like to have your accounts amalgamated into just one, can I ask you to complete the attached form and return it to our registrars (Capita Registrars), with your share certificates. By doing this, it will ensure that you only receive one dividend cheque, and one financial report – thus saving you time, and Gallaher, in our constant drive to create and deliver shareholder value, money.

In addition, if there are any alterations you would like to make to the details on your certificate, you can also use this form to amend these details if you wish, and return to our registrars with your share certificate.

If your address has changed, and you have not yet notified our registrars, please complete the form to do this – there is no need to enclose your certificate for this purpose.

If you were a shareholder this time last year, you might remember I wrote to you with details of the on-line facilities that you might find useful. I thought I would also take this opportunity to remind you (if you were a shareholder at that time), or if you are a new shareholder, of what can be done on-line.

  • -Shareholder electronic communications

    As a Gallaher Group Plc shareholder, this facility allows you to register your e-mail address on-line to enable you to, in future, receive shareholder communications such as annual and interim reports via the internet rather than through the post, as well as allowing you to lodge proxy votes on-line.

  • -Account enquiry

    You can access your personal shareholding details on the register, including share transaction history, dividend payment history and also to obtain an up-to-date shareholding valuation.

  • -Amendment of standing data

    This allows you to change your registered postal address and add, change or delete dividend mandate instructions, as well as elect or cancel an election to have future dividends reinvested via the Gallaher Group Plc dividend re-investment plan.

    From this site, you can also download certain forms such as change of address, stock transfer and dividend mandate forms.

To make use of any of these facilities, please log onto the Gallaher website:

and select ‘shareholder information’. Alternatively, go to our registrar’s website:

and select ‘shareholders’ before selecting Gallaher Group Plc from their client list. You will then be presented with the full range of on-line services available to Gallaher shareholders.

To access the above facilities you will need to input your surname, IVC / investor code (which can be found on your share certificate and dividend tax counterfoil), and post code. Some facilities also require you to apply for a user ID as well as register a password. Where this is required, instructions are clearly detailed on the website.
